Terms of Service (AGB)

Note: Solmyr is an independent experimental project, not a commercial enterprise. These terms are written to be fair and transparent.

1. Scope and Operator

These Terms of Service ("Terms") govern access to and use of Solmyr ("the Service"), an AI-powered business companion available at solmyr-labs.com.

By creating an account you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Solmyr is an AI-assisted productivity tool for individuals and small teams. It helps you plan, execute, and track business goals through AI-powered conversations, task management, and automated workflows.

The Service is provided as-is and is in active development. Features may change, be added, or be removed without notice.

3. Account Registration

  • You must provide a valid email address and a secure password.
  • You are responsible for keeping your credentials confidential.
  • You must be at least 18 years old to use the Service.
  • One person may not maintain more than one account.
  • You are responsible for all activity that occurs under your account.

4. Credits and Payments

4.1 Credit System

Solmyr may offer a credit-based billing model. Credits are consumed when the Service processes AI requests on your behalf. The current credit costs are shown in the application settings.

4.2 Purchasing Credits

Credits are purchased through Stripe, our third-party payment processor. By purchasing credits you also agree to Stripe's Terms of Service.

All prices are shown in USD and are exclusive of any applicable taxes.

4.3 No Refunds

Credits are non-refundable once consumed.

4.4 Bring Your Own API Key

Alternatively, you may connect your own API key from a supported AI provider (e.g. Anthropic). In this mode, AI costs are billed directly by that provider — Solmyr does not charge credits for API key mode usage.

4.5 Price Changes

We reserve the right to change credit prices. Existing purchased credits are not affected by price changes.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Attempt to reverse-engineer, scrape, or disrupt the Service.
  • Use the Service to generate content that is harmful, misleading, or abusive.
  • Share access to your account with others without using the team/invite feature.
  • Transmit sensitive personal data of third parties without their consent.

We reserve the right to suspend or terminate accounts that violate these rules.

6. AI-Generated Content

The Service uses large language models (LLMs) to generate responses, plans, and recommendations. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or outdated information.
  • AI output does not constitute legal, financial, or professional advice.
  • You are solely responsible for any decisions made based on AI-generated content.
  • We do not guarantee the accuracy, completeness, or fitness of any AI output.

7. Data and Privacy

Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to the processing of your personal data as described therein.

Your business data (plans, tasks, messages, files) is stored on our servers and processed to deliver the Service. We do not sell your data.

8. Intellectual Property

  • The Service, its design, code, and branding are owned by the operator.
  • Content you create within the Service (plans, tasks, notes) remains yours.
  • You grant us a limited, non-exclusive licence to store and process your content solely to deliver the Service.

9. Availability and Service Changes

  • We aim for high availability but do not guarantee uninterrupted access.
  • We may modify, suspend, or discontinue the Service (or parts of it) at any time.
  • If we discontinue the Service, we will provide 30 days' notice where reasonably possible.

10. Limitation of Liability

To the maximum extent permitted by Swiss law:

  • The Service is provided "as is" without warranty of any kind.
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service.
  • Our total liability for any claim arising from these Terms or the use of the Service is limited to the amount you paid us in the 3 months preceding the claim.

These limitations do not exclude liability for damages caused by gross negligence or wilful misconduct, as required by Swiss law.

11. Termination

  • You may delete your account at any time via the account settings.
  • We may suspend or terminate your account if you breach these Terms, with or without prior notice depending on severity.
  • Upon termination, your data will be deleted within 90 days, except where we are required by law to retain it.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or via an in-app notice at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by Swiss law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
